About Course

Every manager makes legal decisions: promising delivery dates, signing vendor contracts, approving advertisements, giving credit against cheques, sitting on boards and evaluating acquisitions. Most legal trouble starts with these everyday choices, not in a courtroom: an uncapped indemnity, a missed 30-day cheque notice, a misleading claim, a related party deal approved without process, or an acquisition closed without CCI approval. This course gives MBA and BBA students and young managers a practical, current command of Indian business law, with Indian business case studies, decision frameworks, checklists and templates you can use at work.

What you will learn

  • Why law is a management skill: liability risk, deal risk, personal liability of directors and officers, and a simple legal risk matrix
  • Indian Contract Act, 1872 essentials: offer, acceptance, consideration, capacity, free consent, void and voidable agreements, restraint of trade
  • Breach and remedies: damages under sections 73 and 74, and specific and substituted performance after the Specific Relief (Amendment) Act, 2018
  • Indemnity, guarantee and agency, including bank guarantees and apparent authority
  • Sale of Goods Act, 1930, e-contracts under section 10A of the IT Act, digital evidence, and cheque dishonour under section 138 of the NI Act
  • Companies Act, 2013 for managers: company types, the small company limits revised on 1 December 2025, directors’ duties under section 166, KMP, related party transactions (s.188) and CSR (s.135); and the LLP Act, 2008
  • Consumer Protection Act, 2019 (product liability, CCPA, misleading ads, E-Commerce Rules 2020, dark patterns), Competition Act, 2002 (cartels, abuse of dominance, the ₹2,000 crore deal value threshold) and IP basics
  • Dispute resolution under the Arbitration Act, 1996 and section 12A of the Commercial Courts Act, with a contract review checklist, NDA key clauses and a vendor onboarding checklist

Who this course is for

MBA and BBA students, young managers and team leads in sales, procurement, marketing, operations, finance and HR, startup founders, and newly appointed directors who want a practical understanding of business law in India. No legal background is needed.

How the course works

6 modules, 18 lessons, with a quiz of 5 questions after each module. Each lesson works through business scenarios with Indian settings and invented company names, explains the law that applies with exact sections, and ends with key takeaways. The final module has five integrated case studies and a ready toolkit: a contract review checklist, NDA key clauses, a vendor onboarding checklist and a step-by-step dispute plan.

How the certificate works

  • A final test of 30 multiple-choice questions, mostly business scenarios, with a 45-minute time limit
  • Pass mark 60%; you can retry if you do not pass
  • On passing, you receive a Lexfolio certificate with a unique ID that anyone can verify online at lexfolio.in/verify-certificate/
  • It is a certificate of completion from Lexfolio, not a degree, diploma or professional qualification

How to show this on your CV and LinkedIn

List it under “Certifications” or “Licences and certifications” as “Certificate Course in Business Law for Managers (Certificate of Completion), Lexfolio, [month and year]”, and add the certificate ID or verification link so recruiters can check it. In interviews, talk about what you can do with it: review a vendor contract with a checklist, spot related party and CSR issues, flag dark patterns or misleading claims, and explain when a deal needs CCI approval. Describe it honestly as a certificate of completion from an online course; it is not a degree, diploma or professional qualification and does not entitle anyone to practise law.

This course is for education and general information, not legal advice for a specific case. Law as on 31 October 2026. For a specific situation, consult a lawyer or your District Legal Services Authority (NALSA helpline 15100).
